This agreement governs the relationship between Holiday Waale an entity of Imperial Milestone Private Limited and its registered B2B agents partners or resellers.

By engaging with Holiday Waale for bookings or services the agent agrees to comply with all terms stated herein.

The agent acts as an independent reseller and not as an employee partner or legal representative of Holiday Waale.

Nothing in this agreement shall be construed as creating a partnership joint venture or agency relationship in legal terms.

All bookings must be confirmed with full or partial advance payment as specified Prices shared are confidential B2B net rates and must not be disclosed publicly Rates are subject to change until payment confirmation Delayed payments may lead to auto cancellation without liability

Holiday Waale reserves the right to deny bookings in case of non payment or suspicious activity.

Agents are free to add their markup and sell at their own pricing Holiday Waale shall not be responsible for agent margin disputes with end customers Any discount offered by the agent shall be borne solely by the agent

The agent is solely responsible for

communicating correct details to clients explaining inclusions exclusions and policies collecting accurate traveler information

Holiday Waale shall not be liable for any miscommunication between agent and end customer.

All cancellations must be submitted in writing by the agent Refunds are strictly subject to supplier policies and booking conditions Refunds are case specific and will be reviewed based on travel date supplier terms and timing of cancellation Service charges and processing fees are non refundable

Holiday Waale shall process refunds only to the agent and not directly to the end customer.

Holiday Waale acts only as an intermediary and shall not be liable for any

flight delays cancellations hotel service issues visa rejections transport failures

All such issues must be addressed with the respective service provider.

The agent agrees to indemnify and hold harmless Holiday Waale from any claims losses damages or legal disputes arising due to

mis-selling or false commitments incorrect information shared with clients unauthorized discounts or offers breach of terms

All pricing contracts deals and business information shared with the agent are strictly confidential.

Any misuse leakage or unauthorized sharing may result in immediate termination and legal action.

Agents shall not directly approach or engage with Holiday Waale's suppliers vendors or partners introduced during the course of business.

Any such attempt shall be considered a breach and may lead to termination and legal consequences.

Agents shall be fully responsible for any chargebacks disputes or payment reversals initiated by their clients.

Holiday Waale reserves the right to recover such amounts along with penalties and legal costs from the agent.

Holiday Waale's total liability shall be limited strictly to the net amount received from the agent for the specific booking.

No indirect consequential or reputational damages shall be claimed.

Holiday Waale shall not be liable for delays cancellations or failures caused by events beyond control including natural disasters pandemics government restrictions or technical failures.

Any disputes shall first be attempted to be resolved mutually within 30 days.

If unresolved the matter shall be referred to arbitration under the Arbitration and Conciliation Act 1996 with jurisdiction in Rajasthan India.

The decision of the arbitrator shall be final and binding.

Holiday Waale reserves the right to terminate the agent relationship without prior notice in case of

fraud or suspicious activity policy violation payment defaults brand misuse

This agreement shall be governed by the laws of India and subject to jurisdiction of courts in Rajasthan India.

By working with Holiday Waale the agent confirms acceptance of all terms and conditions stated above.
